Are electronic certificates the same as uncertificated shares?

No. Electronic certificates are certificated shares just like paper certificates (so bylaws and charters are not affected). The difference between electronic certificates and paper certificates is that electronic certificates are stored electronically rather than on paper. 

Carta supports both certificated and uncertificated (book entry) shares.
