How to Participate in a Tender Offer
If you have been invited to participate in a tender offer, you will receive an email to participate:
2. Once logged in to Carta, a task will appear under the Secondary sales tab. Click 'Get Started' to participate.
Next, sign the Non-disclosure agreement.
Review the offer documents by clicking the View links to the right:
Confirm your account information and upload a copy of your valid government ID (for example, a driver's license, non-driver ID, or a passport).
Download the W-9 template, fill out, then upload the completed form.
Connect your bank account. A bank account must be connected to participate. If you do not use the instant connection option, there is an additional step of verifying your bank account through test deposits that will need to be completed prior to settling the tender offer. The transfer of funds cannot be executed without connecting and verifying your bank account. For more information on this process, please see this article.
All tasks must be complete in order to participate. A green checkmark will show when a task is completed.
Enter the number of shares you would like to sell from each eligible security:
Download the spousal consent form (if applicable), have your spouse fill out and sign the form. Re-upload the completed form to the tender offer.
Review your order details and click the Participate button:
If you are requesting a cashless exercise, you will be prompted to agree to the option paperwork and exercise notice for each option:
Check the boxes once you have read and understood the accompanying tender offer documents, then sign your name and submit your order:
You will see a confirmation that your order has been placed:
To revisit the tender offer dashboard at any time, navigate to your portfolio and click the 'Secondary sales' link at the top.
