What does Carta send to company administrators, shareholders, and employees?

Many company officers and administrators have asked what emails we send to their shareholders and employees. This is a list of the notifications that we send out.

Registration

Sent to the user:

  • Account verification email — Sent to verify a new user's email address. Users who sign up to accept shares or option grants do not have to verify their email address.
  • Two-day check-in — An automated email to check in on new users and improve their experience.

Onboarding

Sent to the company:

  • NPS survey

    — 

    Sent to the company's onboarding contact to rate their onboarding experience.


Account management (Security holder)

Sent to the user:

  • Accept role — Sent to inform a user they have been given access to a company on the Carta platform. They can accept their administrative role via this email.
  • Password reset email — Sent to a user when we receive a request to reset his or her password.
  • Email change notification — Sent to a user for security purposes when his or her email has been changed.

Account management (Company)

Sent to the company:

  • Carta digest — Sent to the administrators (need to have full access to edit company and the ledgers), this email contains a list of every security that was signed or accepted in the past business day.
  • Pricing Update email — Sent to the administrators (need to have full access to edit company) when their new stakeholder count has moved them into a higher or lower pricing tier.
  • Cap Table Request — Sent to the approver designated on the Settings tab to indicate that an investment firm is requesting access to the company's cap table. To change approver, click here

Certificates

Sent to the company:

  • Signature notification — An administrator issues a certificate and the officers need to sign it. Reminders will be sent out after 5, 10, 15, and 30 days.

Sent to shareholders:

  • Acceptance notification — After an administrator issues a certificate and the officers sign it, the shareholder needs to accept it. 
  • Acceptance reminder — If a shareholder doesn't accept a certificate after two days, we send a reminder. We then send reminders at the 5, 10, 20, 30, and 90 day mark if a security remains unsigned.
  • Acceptance success — After a certificate is accepted, we send a confirmation that it was successfully accepted.
  • Complete Portfolio -- Sent to a holder to remind them to complete filling out information in their portfolio (address, bank account, tax information)
  • Cap Table Access Investment firms will also have the ability to request cap table access. You can go to company settings page to designate an internal company contact for this feature. Changing or granting access will send an email notification to the investment firm.
  • Modification notification  If a significant change is made to a security, the security-holder receives an email notification - these modifications will show a notification that a note will be sent.

Option grants

Sent to the company:

  • Signature notification — An administrator issues an option grant and the officers need to sign it. Reminders will be sent out after 5, 10, 15, and 30 days.

Sent to option holders:

  • Acceptance notification — After an administrator issues an option grant and the officers sign it, the option holder needs to sign and accept it. 
  • Acceptance reminder — If an option holder doesn't accept an option grant after two days, we send a reminder. We then send further reminders at the 5, 10, 20, 60, and 90 day mark if a security remains unsigned. If an employee receives a grant that's eligible for early exercise, it will be mentioned.
  • Acceptance success — After an option grant is accepted, we send a confirmation that it was successfully accepted.
  • Complete Portfolio -- Sent to a holder to remind them to complete filling out information in their portfolio (address, bank account, tax information)
  • Vesting events — When new options vest, we send a congratulatory email (typically once per month or quarter, depending on the vesting schedule)
  • ACH Notification

    — 

    If a company enables ACH exercise for their employees, the employees will receive a notification that they are able to electronically exercise their option grant.

  • Modification notification — If a significant change is made to a security, the security-holder receives an email notification - these modifications will show a notification that a note will be sent.
  • Option exercise cancelation — If a company rejects an exercise, the option holder receives notification that their exercise was canceled.
  • Option expiration reminder — Sent to the option grant holder when his/her option grant is going to expire in 21 days, if the option grant is accepted.

Convertible notes

Sent to the company:

  • Signature notification — An administrator issues a convertible note and the officers need to sign it. Reminders will be sent out after 5, 10, 15, and 30 days.

Sent to shareholders:

  • Acceptance notification — After an administrator issues a convertible note and the officers sign it, the note holder needs to accept it. 
  • Acceptance reminder — If a note holder doesn't accept a convertible note after two days, we send a reminder. We then send reminders at the 5, 10, 20, 60, and 90 day mark if a security remains unsigned.
  • Acceptance success — After a convertible note is accepted, we send a confirmation that it was successfully accepted.
  • Complete Portfolio -- Sent to a holder to remind them to complete filling out information in their portfolio (address, bank account, tax information)
  • Modification notification — If a significant change is made to a security, the security-holder receives an email notification - these modifications will show a notification that a note will be sent.

Warrants

Sent to the company:

  • Signature notification — An administrator issues a warrant and the officers need to sign it. Reminders will be sent out after 5, 10, 15, and 30 days.

Sent to shareholders:

  • Acceptance notification — After an administrator issues a warrant and the officers sign it, the warrant holder needs to accept it. 
  • Acceptance reminder — If a warrant holder doesn't accept a warrant after two days, we send a reminder. We then send reminders at the 5, 10, 20, 60, and 90 day mark if a security remains unsigned.
  • Acceptance success — After a warrant is accepted, we send a confirmation that it was successfully accepted.
  • Complete Portfolio -- Sent to a holder to remind them to complete filling out information in their portfolio (address, bank account, tax information)
  • Modification notification  If a significant change is made to a security, the security-holder receives an email notification - these modifications will show a notification that a note will be sent.

ACH exercise of option grants

Carta supports the exercise of option grants using ACH. This process is more complex than issuing a typical document, so it involves a few additional emails.

Sent to the company:

  • ACH test deposit notification — After a company enters its bank account, we send two test deposits to it. This email notifies the company that the deposits are ready to be verified.
  • ACH test deposit reminder, two day — If the test deposits have been transferred but not verified after two days, we send a reminder.
  • ACH test deposit reminder, four day — If the test deposits have been transferred but not verified after four days, we send a reminder.
  • ACH success notification — When the test deposits are verified, options exercise using ACH is enabled. We send a notification email to the company administrators to let them know.
  • Options exercise initiated — When an employee initiates an option grant exercise using ACH, we notify the company so that they can approve of the ACH exercise.

Sent to the option holder:

  • ACH test deposit notification — After an option holder enters his or her bank account, we send two test deposits to it. This email notifies the option holder that the deposits are ready to be verified.
  • ACH test deposit reminder, two day — If the test deposits have been transferred but not verified after two days, we send a reminder.
  • ACH test deposit reminder, four day — If the test deposits have been transferred but not verified after four days, we send a reminder.
  • Options exercise initiated — When an employee initiates an option grant exercise using ACH, we send the option holder a verification that his or her funds are being transferred.

409A

Sent to the company:

  • Successful 409A Request — Sent to the person who submitted the 409A request. This email informs you that your 409A request was successful.
  • Expiring 409A notification — Sent to the person who subscribed to the Carta 409A or to one of the company officers to inform them that they have reached the end of their safe harbor period.

ASC 718

Sent to the company:

  • Peer company failure — Sent if the peer companies input into the system fail.
  • Report Complete — Sent to inform the company that the ASC 718 report is ready for download.

Board Approvals

Sent to the board:

  • Approve Board consent — After the administrator issues a board consent, sent to board members to review the board consent.
  • All Approved — When all board members approve, administrator receives an email that the board approval is approved.

Financings

Sent to investors:

  • Financing Invitation — When the investor is invited to participate in a financing on Carta, they will receive an email request to sign closing documents and review wire instructions.
  • Wire Instruction — Sent to investors to confirm that closing documents are signed and to give the investors wire instructions to transfer funds into Carta's escrow account.
  • Wire Confirmation — When the amount is automatically verified, the investor will receive an email confirmation for the wire transfer.
