Early Exercise

Early exercise is the right to exercise your options before the stock is vested.

If you are unsure about whether or not you can early exercise, it will be stated on your option agreement. Please review this agreement to confirm.

Note: Early exercise of option grants are subject to an Alternative Minimum Tax (AMT) and repurchase by the company if your service has been terminated within a specified time.

Once the option grant has been issued to you, accept it into your portfolio. If your options are subject to  vesting and you have early exercise rights, you may file an 83(b) election with the IRS within 30 days of the exercise.

During the 30 day period following the early exercise of an option grant, you will be able to print out a 83(b) election form by clicking on the 'Details' button in your portfolio. The 83(b) form MUST be filed within 30 days, so please file it as soon as possible. If you have any questions, please contact us at support@carta.com.
