Input	Description
Share classes	Automatically create shadow classes based on share price. Create custom shadow classes and assign them to new money investment and convertibles.
Pro rata allocation	Investor Pro Rata Rights: Click Add investor with pro rata to choose from eligible existing investors with pro rata rights. The Carta tool automatically calculates pro rata according to the NVCA calculation (the proportion of the investor’s fully-diluted and converting shares to total fully-diluted and converting shares) Convertible Pro Rata Rights: The Carta tool automatically calculates pro rata for SAFEs and convertible notes according to the SAFE pro rata. An investor with pro rata rights in connection with a SAFE or convertible note is entitled to participate in the round by taking a portion of the total new financing allocation based on their converted shares divided by the Company Capitalization.
Advanced terms	Conversion Method: Select the dilution method through which convertibles will be calculated. Option Pool: Select how the option pool will be increased. Authorized Shares: Allows users to specify the post-financing authorized shares for each share class. An Authorized common stock buffer can also be added in this section. Secondaries: Add secondary transaction information. Anti-dilution provisions: Apply standard types of anti-dilution provisions to each share class.
New Round Terms	New investment: The amount of new money being invested in the round. Pre-money valuation: The valuation for the company prior to the new capital being invested in the round. Post-money valuations are not currently supported, so a pre-money valuation must be calculated for this field. A post-money valuation field for this input is currently in development. Closing date: The closing date can be used as the desired conversion for interest calculations on convertibles, if applicable. Target option pool: The target option pool percent allows users to input the desired ending option pool percentage after the round is complete. Carta's model calculates the price per share and fully diluted shares to achieve the target post-money option pool. Promised options: A portion of the available option pool that is already promised for issuance and should not be treated as available for calculation purposes.
New Money Investors	Type and Investor name: The dropdowns in these fields allow for allocation of the new investment money to the new and existing investors Round investment: The amount of money being invested in the round by the corresponding investor Has pro rata: The tool automatically calculates default pro rata for investors. This percentage allocation or investment may be changed at any time through the Advanced terms and settings modal.
Convertible Holders	SAFEs and Notes: Carta automatically pre-populates the SAFEs and Notes added to the captable that are still outstanding, and users can manually add any notes not captured. The conversion price basis of these convertibles can also be configured. By default, the conversion price basis is auto populated based on the valuation cap and valuation cap type or by discount. Valuation cap type: Indicate whether the valuation cap is pre-money or post-money Has pro rata: The tool automatically calculates default pro rata for SAFEs and Convertible notes according to the SAFE pro rata. This percentage allocation or investment may be changed at any time through the Advanced terms and settings modal.
