International option holders working for a US company cannot process exercise transactions via ACH due to regulatory restrictions. However, wire payments can be sent to Carta who can then send the funds via ACH to the issuing company, expediting the process on the platform.

Option holder submits exercises via the Carta platform.
An automated email notifies the exercise approver at the company.
Upon approval, an email is sent to the option holder providing instructions to wire the funds to Carta.
The option holder must wire the exercise payment from their bank institution to Carta, as this is not automatically completed. The funds need to reach Carta (i) within 30 days of exercise approval and (ii) prior to the expiration of the post-termination exercise period and grant expiration date.
If the funds are not received by Carta on time, it will not be possible to complete the exercise on the Carta platform and the exercise may be automatically canceled.
1. View and print detailed wire instructions on the Carta platform. Payment(s) from third-party payment processors such as TransferWise, OFX, and Revolut via ACH may be accepted. Verify with your provider prior to sending. If the funds are not transferred in a timely manner, the exercise request will auto-cancel.
2. Ensure the funds are sent in USD currency.Ensure that any bank wire and intermediary fees are not deducted from the total exercise cost. Carta doesnotcharge a fee to receive funds.
3. Ensure funds are transferred prior to the grant's expiration date.
Carta confirms the incoming wire payment(s) and determines if the exercise is fully funded.
The same day the payment succeeds with no processing failure, the virtual funds are transferred to the issuing company via ACH. At 11 AM PST the following day, the transaction is marked as Succeeded. A certificate auto-generated and sent to the company signatories.
- If the payment fails, we send a notification to the shareholder and the certificate is not created.The incoming funds are on hold at Carta’s customer account for further investigation
