How many investors are permitted in the US Syndicate SPV?

Each SPV can have up to 100 beneficial owners. Because the General Partner is a beneficial owner, this leaves up to 99 beneficial owners for Limited Partners. Certain Limited Partners that are entities may have more than 1 beneficial owner for purposes of the Section 3(c)(1) exemption for investment companies. For this reason, we require all Limited Partners to fill out a Subscriber Information Form (a/k/a Investor Questionnaire) to help us determine whether we need to count them as more than 1 beneficial owner. This is a regulatory restriction.
