How to fix report errors in the Financial Reporting tool
Reports in Financial reporting provide an “Errors” tab within that give a variety of issues to be addressed in order to make sure all expenses and disclosures are correctly accounted for.
This guide lists the different error messages and the solution to each.

[Award ID]: Missing cancellation treatment and behavior for canceled award< | A cancellation treatment and behavior is needed for the canceled award.

[Award ID]: Vested shares [x] as of termination date is less than exercised amount of [x] | As the exercise transaction is currently entered, the amount of shares exercised does not match what could have been exercised at the time. In most cases, the termination date was entered for an earlier date than actually occurred, or shares were accelerated before termination. The termination date will have to change in order to account for the quantity of vested shares exercised or the grant’s vesting schedule needs to be manually changed to account for the acceleration of shares. Acceleration of vesting may require Board approval and modification expensing on the grant that needs to be handled outside of Carta. |
[Award ID]: Exercise on ‘YYYY-MM-DD’ must be before expiration date of ‘YYYY-MM-DD’ | The award was exercised after the expiration date of the award. In many cases, the termination date was backdated, changing the expiration date of the award after the stakeholder had performed an exercise. |
[Award ID]: Sum of tranche quantities [x] does not match award total quantity [x] for award x. | The awards original quantity has been modified and no longer matches the sum of the vesting tranches or the vesting schedule has duplicated vest dates. To investigate this, after logging into Carta web, navigate to the Securities > Equity Awards page. Search for the equity award and click on the award for more details. Check that the quantity of the award under the Details tab matches the total quantity under Vesting Schedule tab. To resolve this issue, contact 718@carta.com describing the error, award impacted, and any kind of modifications that have been made to this award affecting the quantities. |
[Award ID]: TrancheCalculator error: Cannot calculate ‘post termination exercise period in days’: Last repurchase date is missing for this certificate | Last repurchase date was not entered during the termination/cancellation process. To resolve this, contact 718@carta.com with the award ID, cancellation/termination date of the award and the error message associated with the award ID. |
[Award ID]: Multiple non-void tranches with the same vest date for award id< | To investigate this, after logging into Carta web, navigate to the Securities > Equity Awards page. Search for the equity award, click on the award for more details, then click into the Vesting schedule tab. |
[Award ID]: TrancheCalculator error: Cannot calculate 'has additional vesting condition': AwardType 'AwardType.NSO' cannot have an additional vesting condition | The event-based performance conditions attached to option grants are not currently supported by our financial reporting module. To resolve this, contact 718@carta.com with the award ID and error message so that the award can be manually excluded from the financial reporting reports. |
[Award ID]: Exercise quantity should not be greater than the number of outstanding shares | There are duplicate exercise requests tied to the same exercise for this award and one of those will need to be deleted. To resolve this, contact 718@carta.com with the award ID and error message to determine next steps. |
