IRS Form 1099-B is a form provided to the IRS by Carta when a tender offer is executed through Carta. It summarizes the transaction details for each participant that received proceeds in the tender offer.

Carta will also issue a 1099-B Substitute Statement to sellers in the tender offer (if it is executed through Carta), which mirrors the information provided to the IRS in the1099-B.

Do participants and the company have access to transaction records after tender offer settlement?

When tender offers are executed through Carta, transaction records will be made available to participants and an Issuer Transaction Summary will be made available to the company upon settlement.

How do I track ownership of stock certificates for Rule 144 purposes?

The Carta system will reflect the Rule 144 date as the tender offer purchase date.
