Requesting an Equity Audit Confirmation
When your auditors need confirmation of your company's equity, you have two options depending on what your audit team will accept. In most cases, granting your auditor direct access to Carta is the fastest path — and many audit firms accept this in place of a formal confirmation letter.
Option 1 (Recommended): Grant your auditor access to Carta
Your Carta cap table itself serves as a confirmation of your company's equity holdings. If your audit team is willing to verify information directly in the platform, you can add them as a user with View-Only access.
To add an auditor to your Carta account:
Go to Company Settings (bottom left) and click into the Users & Permissions tab.
Click Add user and enter the auditor's name, email address, and title.
Select View-Only from the Access level dropdown, then click Add user.
Once the auditor has reviewed and exported what they need (a Summary Cap Table report is typically sufficient), you can remove their access by clicking Edit next to their name, then Delete user.

Option 2: Request a formal audit confirmation letter
If your auditors specifically require a signed letter from Carta, we can provide one using our standard template. Note that we use our own required template — we're unable to complete third-party templates or include information outside of what is listed in our standard letter.
To request a letter, you'll need to provide:
A signed request letter from a company officer listed as a Full Access or Company Editor user in Carta
The as-of date for the confirmation (e.g., 12/31/2024)
The auditor's name, firm, and mailing address
How to submit your request:
Contact Carta Support to open a case. Our team will review your cap table for accuracy before preparing the letter, and a manager will verify and sign all letters before they're sent.
