Scope of Services: Carta Registrar and Transfer Agent (Cayman Islands)
I. Types of Funds Supported
Structures
Carta will only support the following fund structures and selections:
Cayman LP/GP fund structure
Sectors and Strategies
Carta will provide support for varied fund sectors and strategies, such as:
Close-ended Private Fund
Venture Capital (growth strategy)
This service is subject to confirmation of the fund’s current anti-money laundering (AML) procedures and personnel.
For support of additional sectors and strategies, please talk to your Carta representative.
II. Registrar and Transfer Agent Services
Carta will:
Maintain the register of members/limited partners
Perform AML procedures with respect to Investors and prospective Investors (following reasonable notice to Carta) as set forth on Scope of Services: Due Diligence - Cayman Based Funds (US)²
Enter on the register every allotment, issue, transfer, conversion, redemption and/or purchase of interests along with the names and addresses of each Investor and the number of interests in each class held by such Investor
Make the Register available for inspection and supply copies of the Register, in accordance with the instructions from authorized persons of the Fund
During Carta's business hours: Permit the auditor, the NAV calculator services provider (if applicable), and any duly appointed agent or representative of the Fund to inspect the Register and any other Fund Records required by this engagement to be kept by Carta
You will¹:
Provide Carta with the following necessary information, either through your current RTA or auditor:
Completed and fully-executed copies of Subscription Documents for all Partners
Verified list of Partners with commitment details and ending capital balances as of the most recent reporting period
A reliance letter from the current third party RTA (or auditor) confirming the list of Partners with commitment details and ending capital balances as of the most recent reporting period is correct
You must also:
Instruct new Partners to submit completed Subscription Documents directly to Carta
