Setting up capital call preferences - US Syndicate SPV
As part of the SPV's setup steps in-app, the Lead Partner is able to set the capital call preferences by clicking Start.
Initially, the Lead Partner will respond if they would like the investors to be able to edit the commitment amount during the subscription process.
If the answer is 'Yes', the Lead will set up a minimum and maximum commitment amount and subsequently answer if they would like to be notified if an investor changes their commitment to the SPV.
The last question refers to the capital call. The Lead will answer if they would like to call capital immediately or later.
Immediately: The capital call notice and the SPV's wire instructions are shared with each investor once their subscription is signed. If this option is chosen, the Lead can start inviting investors to subscribe when the SPV's bank account is open.
Later: After all investors have been admitted to the SPV, the Lead will request the capital call to be sent to all investors at once. The Lead can start inviting investors once this step is saved, without the need to wait for the SPV's bank account to be opened.
If the option "Later, when triggering the capital call" is selected, a new step named "Release Wire Instructions" will be added to the SPV's setup in-app, which the Lead needs to complete when they are ready to request the capital call:
