Subscribing to a US Syndicate SPV

Subscribing to a US Syndicate SPV Lead Partners can now invite investors to complete subscription documents directly through Carta. Carta makes it easy to manage the closings process from start to finish, enabling investors to complete their subscription documents in-app.

How do I complete my subscription documents?

  1. After you’ve been added to a Syndicate SPV as a prospective investor, you’ll receive an email invitation prompting you to review and complete your subscription documents. Click Get Started in the email.

  • If you’re an existing Carta user, log into your Carta account using the email address where you received the email notification. If you’re having trouble logging into your Carta account, click here.

  • If you’re a new Carta user, you will be prompted to create an account, after clicking the link in the email.

2. After logging into Carta, you’ll see a notification in the Tasks tab prompting you to Complete subscription documents. Click on Get Started.

3. You’ll be directed to your Welcome page, where you can view the details of your intended commitment (and change it, if enabled by the Lead Partner), access a data room (if one has been shared with you) and check the investment information.

  1. Click on Save and start investing after confirming the commitment to begin Carta’s Investor Questionnaire. You’ll need to have ready:

  • Tax forms - You will be required to provide a signed tax form such as a W-9 or W-8

  • Bank account details - Where you would like to receive distributions

5. If you prefer someone else to fill out the documents for you, you can click 'invite someone to complete the document on your behalf' on the 'Welcome' page. Alternatively, when filling out the form, you'll find a link on the right-hand side saying I’d like to forward these documents to someone else to complete on my behalf.

  1. Carta will guide you through the steps necessary to complete the Investor Questionnaire. To begin, indicate the entity or individual who will be subscribing to the entity. Click Continue.

  2. Click on the designation that best describes the subscriber: An individual person, A trust, or Other entity type. Complete the required fields that appear below. When finished, click Continue.

  1. Optionally, add wire instructions in order to receive future distributions. These details can be added later, but you will be unable to receive distributions until they are entered into Carta. When finished, click Continue.

  1. Upload a completed and signed IRS tax document (W-9 or W-8BEN) for the investor. W-9s and W-8BENs are IRS forms that have information about an individual or entity. These documents are provided to third-parties (such as SPVs you are invested in) that must file information about the subscriber to the IRS.

Drag and drop or click to choose a file to upload. When finished, click Next Step.

  1. On the next pane, answer the Portfolio Company Conflicts of Interest. When finished, click Continue.

  1. On the next pane, answer the questions related to the ownership. When finished, click Continue.

  1. Indicate how the subscriber qualifies as an Accredited Investor. If the subscriber does NOT qualify, indicate that below and consult with the Lead Partner. When finished, click Continue.

  1. Indicate if the Subscriber qualifies as a Qualified Purchaser. Consult the Lead Partner with any questions about this section. When finished, click Continue.

  1. Complete the Know Your Customer fields with the subscriber’s information. When finished, click Continue.

  2. Complete the Contacts and signatories section. Click + Add to indicate the primary contact for the subscription.

Optionally, click + Add to add secondary contact(s) for the subscription.

If adding a new contact, complete the required fields and click Save.

When finished, click Continue.

Review and sign the fund documents to ensure their accuracy. Documents can be signed electronically or manually, depending on preference.

To sign electronically:

Click View to review a PDF of the completed Investor Questionnaire.

Click the download icon to the right of each document listed under Other documents to download and review. After downloading a document, the checkmark to the left of the document name will turn green to indicate that the document has been reviewed.

Check the box to indicate that you have read, understood, and agreed to the above documents and type your name to e-sign.

When finished, click Continue.

Email invitations will be sent to any additional signatories after submission.

To sign manually:

Click here in the instructions at the top of the page.

Click Download all to download the Investor Questionnaire and any additional documents.

Unzip the file and click into the Subscriber Information & Signature PDF within the folder.

Print the Investor Questionnaire and manually sign the Signature Page towards the end of the document.

Drag and drop or click to locate and upload the full Investor Questionnaire and signed Signature Pages.

When finished, click Submit.

After all signatories have signed the subscription documents, the Lead Partner will be able to log into Carta and countersign to complete the closing.
