In the event Carta dissolves, all electronic certificates will be canceled, converted to paper, and distributed to security holders. A reserve fund is maintained by Carta expressly for this purpose to ensure orderly and accurate offboarding from Carta’s platform.

Per Carta’s Data Retention Policy, all customer data is maintained for seven years following account termination (including in the event of a Carta closure). All files are maintained at a backup location and cannot be deleted until the seven year retention period expires.
