Who can be a US Syndicate SPV Lead?

A Lead Partner can be any legal entity or person who has reached the age of legal maturity and is located in the US (provided they meet certain minimum regulatory and AML/KYC qualifications that are required for all investors in an SPV). In addition, the transaction manager must not be rendered incapable, over indebted, insolvent, or bankrupt.

Whether to choose an entity or a natural person as Lead depends on individual circumstances, including taxation considerations.

The same individual or entity must sign the Lead Partner Agreement and commit/fund the co-investment into the SPV.
