Carta Valuations has a team of experienced valuation analysts that review your most recent Articles of Incorporation document when conducting your 409A valuation. As part of the 409A process, the valuations team makes sure that the rights and preferences on Carta reconcile with the most recent AOI document.
Granting our team access to adjust your rights & preferences will enable us to deliver accurate and timely valuation reports while improving data quality on your Carta account.
Rights and preferences that could be subject to adjustment include:
Liquidation seniority
Liquidation multipliers
Original issue and conversion prices
Dividend terms
Participation rights
Carta Valuations LLC will notify you of any changes to your rights & preferences as part of the 409A delivery process. The 409A report and any resulting changes to rights & preferences will not be finalized until your designated point of contact has accepted the 409A on Carta.
